Terms of Service &
Commercial Trading Conditions
These General Trading Conditions govern all port agency representations, charter party fixtures, marine bunkering stems, STCW crew placements, and technical superintendency mandates executed by Trywave Maritime Solutions Ltd.
Application & Scope of Engagement
All services, commercial fixtures, agency representations, technical superintendency contracts, and procurement orders provided by Trywave Maritime Solutions Ltd. ("the Company") to any shipowner, charterer, operator, manager, shipper, or vendor ("the Principal") are subject exclusively to these Terms of Service, unless expressly modified in writing and signed by an authorized director of the Company.
Port Agency & Disbursement Accounting (PDA / FDA)
Where the Company acts as Port Agent, Husbandry Agent, or Protecting Agent:
Proforma Disbursements (PDA)
- PDAs are good-faith estimates based on local port authority tariffs.
- The Principal must remit 100% of the estimated PDA prior to vessel arrival.
- The Company is not obligated to advance funds on behalf of the Principal.
Final Accounts & CTM Transfers
- Final Disbursement Accounts (FDA) are rendered with original vouchers.
- Cash-to-Master (CTM) deliveries are executed at Principal's risk & insurance.
- Unpaid balances incur 1.5% interest per month from FDA issuance.
Shipbroking & Chartering Recaps
When acting as shipbrokers or commercial intermediaries, all fixtures negotiated by the Company are subject to standard international charter party forms (e.g., BIMCO NYPE, Gencon, Shelltime, Barecon). Recaps confirmed via email or messaging terminals constitute binding fixtures under customary international shipping practices.
Marine Bunkering & ISO 8217 Standards
Bunker supply stems organized or facilitated by the Company strictly comply with ISO 8217 specifications and MARPOL Annex VI regulations:
- Sampling & Testing: Representative samples must be drawn at the manifold during delivery and signed on the Bunker Delivery Note (BDN).
- Quantity Verification: Mass Flow Metering (MFM) or barge gauge soundings agreed prior to manifold connection are binding.
- Claims Time-Bar: Any quality or off-spec claims must be submitted in writing within 14 calendar days of stem completion.
STCW Crew Manning & MLC 2006 Guarantees
Seafarers recruited or placed through our crewing desks hold valid STCW certificates, Flag State endorsements, and P&I medical fitness clearances. The Principal employing placed crew guarantees seaworthy working conditions, timely monthly salary transfers under MLC 2006, safe repatriation, and full P&I insurance coverage during their contract tenure.
Safe Port Warranty, Demurrage & Force Majeure
The Principal warrants that nominated ports, berths, and offshore anchorages are safe and accessible. Neither party shall be held liable for failure or delay in performance caused by Force Majeure events, including war, piracy, strikes, port blockades, official quarantine, or extreme weather perils beyond reasonable commercial control.
Limitation of Liability & English Law Jurisdiction
To the maximum extent permitted by applicable law, the total cumulative liability of Trywave Maritime for any operational error, omission, or breach shall be capped at the total professional fees or agency commissions received for the specific voyage fixture. These terms are governed by and construed in accordance with English Maritime Law.
